• Subject to change if the scope of work, materials or site conditions change.
• Not a binding contract until a formal written agreement has been signed by both parties.
• Exclusive of VAT unless explicitly stated otherwise.

Derstock reserves the right to decline any project or quote request at its sole discretion.

4. Contracts and Project Agreements

All construction, shopfitting and woodwork projects undertaken by Derstock are subject to a formal written agreement outlining the agreed scope of work, project timeline, payment terms and handover conditions.

No work will commence until:

• A written agreement has been signed by both parties.
• The agreed deposit payment has been received and cleared.

Any variations to the agreed scope of work must be approved in writing by both parties before additional work is carried out.

5. Payment Terms

Standard payment terms are as follows unless otherwise agreed in writing:

• Deposit: 50% of the total project value is required before work commences.
• Progress Payment: A progress payment may be required at agreed milestones for larger projects.
• Final Payment: The remaining balance is due upon practical completion.

Derstock reserves the right to suspend or cease work where payment obligations are not met. Interest may be charged on overdue amounts in accordance with the Prescribed Rate of Interest Act (South Africa).

6. Intellectual Property

All content on this website — including text, images, project photographs, logos, design concepts and graphics — is the intellectual property of Derstock Construction & Wood unless otherwise stated. You may not reproduce, copy or distribute any content for commercial purposes without our prior written permission.

7. Warranties and Workmanship

Unless otherwise specified in a project agreement:

• All construction and installation work carries a 6-month workmanship warranty from the date of practical completion.
• Custom woodwork and cabinetry carries a 12-month workmanship warranty from the date of installation.
• Warranties cover defects in workmanship only and do not cover damage caused by misuse, fair wear and tear, or alterations made by third parties.
• Material warranties are subject to the terms provided by the relevant manufacturer or supplier.

8. Limitation of Liability

To the maximum extent permitted by South African law:

• Derstock will not be held liable for any indirect, consequential or incidental loss arising from the use of this website or from delays or defects beyond our reasonable control.
• Our total liability in connection with any project shall not exceed the total value of the contract for that project.
• Derstock is not responsible for any third-party products, services or websites linked to or from this website.

9. Force Majeure

Derstock will not be in breach of any agreement if we are unable to fulfil our obligations due to circumstances beyond our reasonable control — including natural disasters, load shedding, civil unrest, supply chain disruptions, pandemics, or government-imposed restrictions. In such cases, Derstock will notify affected clients as soon as reasonably possible and propose a revised timeline.

10. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from these terms or from any engagement with Derstock shall be subject to the jurisdiction of the South African courts.

11. Changes to These Terms

Derstock reserves the right to update or amend these Terms of Service at any time. The most current version will always be available on this page. Continued use of our website or services following any changes constitutes your acceptance of the updated terms.
